1.  Product Customization Program Terms and Conditions

 INTRODUCTION.

Welcome to the Product Customization Program offered by between Goaled Solutions, LLC, doing business as Black Church Art and Black Church Art Center ("Seller," "we," "our," or "us"). After this, all will be referred to as Seller in the document.  By participating in this program and using our services, you agree to comply with these Product Customization Program Terms and Conditions (the "Terms"). Please read these Terms carefully before proceeding.

  1. ELIGIBILITY AND REGISTRATION.

2.1. To participate in the Product Customization Program, you must provide accurate and complete information when registering, including your name and address. By doing so, you represent and warrant that you have the legal authority to provide this information.

2.2. We may collect, use, and store your personal information in accordance with our Privacy Policy. By registering for our program, you consent to our use of your personal information as outlined in the Privacy Policy.

  1. DESIGN SUBMISSION.

3.1. When using our Product Customization Program, you may have the option to submit your own designs, text, images, or other content ("Designs"). By submitting Designs, you agree that:

  1. You are the owner of the Designs, or you have obtained all necessary rights and permissions to use the Designs for customization.
  2. Your Designs do not infringe upon the intellectual property rights of any third party.

3.2. We reserve the right to refuse to print any Designs that violate our terms or values. In such cases, we will inform you of the reasons for refusal.

  1. CUSTOMIZATION AND COPYRIGHT.

4.1. All products created through our Product Customization Program are customized according to your instructions. You agree that:

  1. You have no right to our artwork, designs, or any of our intellectual property used in the customization process.
  2. You are solely responsible for any copyright or intellectual property violations that may arise from the use of your submitted Designs.

4.2. You indemnify and hold us, our company, affiliates, sublicensees, and agents harmless from any copyright violations, legal claims, or damages arising from the use of your Designs.

4.3. Lead Times: Seller will make diligent efforts to meet the mutually agreed-upon delivery schedules; however, it is understood and agreed that Seller does not provide any guarantees or warranties regarding specific delivery times. Any delivery dates or timelines communicated are estimates and may be subject to unforeseen circumstances or delays beyond Seller's control. In no event shall Seller be liable for any direct, indirect, incidental, special, or consequential damages resulting from delays in delivery, irrespective of the cause.

  1. RETURNS AND REFUNDS.

5.1. As all products are customized to your specifications, we cannot resell them to others. Therefore, returns are generally not permitted unless:

  1. We have created a product that does not conform to your provided specifications and instructions; or
  2. We have provided a product with a manufacturing defect.

5.2. In the event of a defect or a product not conforming to your specifications, customers must follow the procedures outlined below:

  1. Customers must provide clear picture(s) of the alleged defect to us for assessment.
  2. Customers are responsible for shipping the defective product back to us, and they shall bear the cost of shipping.
  3. Upon receipt of the defective product, we will inspect it, and if the defect is confirmed, we will send out a replacement item.
  4. Additionally, customers have the option to purchase shipping insurance for every shipment. In the event of lost, damaged, or stolen packages during transit, customers should file a claim with the shipping insurance company to seek compensation for any such issues. The replacement or refund of the item will be determined at our discretion and in accordance with the findings of our inspection.
  1. SHIPPING AND DISTRIBUTION RESPONSIBILITY:

6.1. Free Shipping: Seller agrees to provide free shipping for all orders (not returns).

    6.2. Wholesalers: For wholesale orders, Seller will ship the products to the address specified by the wholesaler. It is the wholesaler's sole responsibility to arrange for further distribution, if necessary, to their own customers or end-users. Any costs associated with such redistribution, including but not limited to shipping fees, handling charges, or other expenses, shall be borne entirely by the wholesaler. Seller shall have no liability or responsibility for the redistribution process or associated costs.

      6.3. The wholesaler acknowledges and agrees that they are solely responsible for ensuring timely and proper distribution of the products to their intended recipients.

             7. CHANGES TO TERMS.

          These Terms may change from time to time. It is your responsibility to review these Terms regularly for updates.

          1. AGREEMENT.

          By proceeding with your order through our Product Customization Program, you acknowledge that you have read, understood, and agreed to these Product Customization Program Terms and Conditions.

          1. LIMITATION OF LIABILITY.

          To the fullest extent permitted by law, we disclaim all liability for any damages, losses, claims, or expenses resulting from the use of our services or products, including but not limited to direct, indirect, incidental, special, consequential, or punitive damages.

          1. GOVERNING LAW AND JURISDICTION.

          These Terms shall be governed by and construed in accordance with the laws of the state of Maryland, and any disputes shall be subject to the exclusive jurisdiction of the courts located within the state of Maryland.

          1. TERMINATION.

          We reserve the right to terminate or suspend your participation in the Product Customization Program at our discretion, without prior notice, for any violation of these Terms or for any other reason.

          OVERVIEW

          This website is operated by BlackChurchArt.com. Throughout the site, the terms “we”, “us” and “our” refer to BlackChurchArt offers this website, including all information, tools, and services available from this site you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here. By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

          Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy. We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate. We reserve the right but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

          SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

          We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

          You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates so that we can complete your transactions and contact you as needed.

          You agree to indemnify, defend and hold harmless glossy tiles and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference or your violation of any law or the rights of a third-party.

          SECTION 15 - SEVERABILITY

          In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

          SECTION 16 - TERMINATION

          The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

          The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.           3. Return/Refund Policy

          Thank you for choosing our products! We want to let you know that each item we offer is carefully crafted or specially secured just for you. This means that when you place your order, it's a unique creation tailored to your preferences. We want you to love what you receive!

          Refund/Return/Cancellations:

          Since our items are made with such care, we have a policy in place: all sales are final. We don't offer refunds or returns for delivered orders. However, if there are any mistakes made by our team, please reach out to us without delay. We're committed to making things right as quickly as possible.

          We understand that sometimes issues can arise, such as defects, damages, receiving the wrong item, or even a printing quality problem. If you find yourself in this situation, we encourage you to contact our customer service right away. Our dedicated team is here to help, and our policy allows for a 72-hour window from the date of delivery to address any concerns you may have.

          To file a claim, please send us an email to support@blackchurchart.com and include the following required information (this is a must):

          • Order number
          • Video(s) or photo(s) of the defective product

          Incorrect Address:

          If, for any reason, a package is unable to reach its intended destination due to an incorrect or incomplete address, or if it's marked as "unclaimed" or "return to sender," we'll promptly notify you via email. Our goal is to ensure that you receive your order smoothly, so we'll work with you to make further arrangements.

          To help us avoid any delivery hiccups, we kindly request that you provide the correct address during the checkout process. It's crucial for us to have accurate information to ensure that your order is delivered to the right place. Please keep in mind that we cannot be held responsible if your order is delivered to an incorrect address due to an error on your part.

          We understand that you may have specific delivery preferences, and we appreciate your trust in our service. However, we'd like to inform you that once your order has left our facility, any requests to forward or redirect the package through the mail carrier will be outside of our control. In such cases, we regretfully cannot assume responsibility if the package becomes lost, stolen, or damaged during the forwarding process.

          4.Dispute Resolution Policy 

          1. Introduction

          This Dispute Resolution Policy ("Policy") is designed to provide a structured process for resolving disputes between Goaled Solutions LLC, doing business as Black Church Art and Black Church Art Center hereinafter referred to as the "Seller," and the Customer, hereinafter referred to as the "Party," regarding any matters arising under the Wholesale Agreement or any related transaction.

          1. Three-Step Communication and Resolution

          2.1 Step 1: Initial Communication

          In the event of a dispute, the Party shall initiate the resolution process by sending a written notice to the Seller. The notice must include a clear and concise description of the dispute, photos associated with the product(s), and the desired resolution.

          2.2 Step 2: Seller's Response

          Upon receipt of the notice in Step 1, the Seller shall respond in writing within 14 days. The Seller's response should outline their understanding of the dispute and their proposed resolution.

          2.3 Step 3: Party's Response

          If the dispute remains unresolved after Step 2, the Party shall provide a written response via email to the Seller at support@blackchurchart.com within 14 days of receiving the Seller's response. In this response, the Party should express their position, any additional information, and their proposed resolution.

          1. Mediation and Arbitration

          3.1 If the dispute is not resolved through the three-step communication process outlined in Section 2, both parties agree to engage in mediation. The mediation process will be conducted by a mutually agreed-upon mediator or a mediator appointed by a recognized mediation service. The costs of mediation shall be shared equally between the parties unless otherwise agreed upon.

          3.2 If mediation in Section 3.1 does not lead to a resolution within 30 days from the initiation of mediation, or if either party refuses or fails to participate in mediation, the dispute shall be resolved through binding arbitration. Arbitration will be conducted following the rules and procedures of a recognized arbitration service mutually agreed upon by the parties. The decision of the arbitrator shall be final and binding on both parties.

          1. Litigation as a Last Resort

          4.1 The parties agree that litigation shall be the last resort for resolving disputes under this Policy. If arbitration in Step 3 does not lead to a resolution, or if either party refuses or fails to participate in arbitration, either party may then pursue litigation in accordance with the applicable laws and jurisdiction specified in the Wholesale Agreement.

          1. Costs

          The costs associated with each step of the dispute resolution process, including mediation and arbitration, shall be borne by the party incurring those costs unless otherwise agreed upon in writing.

          1. Confidentiality

          All communications and proceedings related to the dispute resolution process, including the existence of the dispute and any offers, statements, or admissions made during the process, shall be confidential and may not be disclosed to any third party without the written consent of both parties.

          1. Governing Law and Jurisdiction

          This Policy shall be governed by and construed in accordance with the laws of the state of Maryland.

          1. Miscellaneous

          8.1 This Policy is intended to encourage the prompt and efficient resolution of disputes and is a binding agreement between the parties.

          8.2 Any notices required under this Policy shall be sent to the addresses mentioned in the Wholesale Agreement or to such other addresses as the parties may later specify in writing.

          1. Acknowledgment

          By signing the Wholesale Agreement, the Party acknowledges and agrees to comply with the terms of this Individual Dispute Resolution Policy.

           

          5. Shipping Policy

          All Black Church Art products (except for Women’s dresses and suits) are hand-crafted only for you in the United States.  As we work with different wholesalers worldwide to offer such amazing pricing on our products, our delivery times below reflect this. 

          We process orders Monday through Friday, Eastern Standard time. We exclude holidays observed by the Post Office: New Year’s Day, Presidents’ Day, Memorial Day, Independence Day, Labor Day, Thanksgiving, and Christmas.

          Please note:

          1. The above time frame is only applied for orders to the US with standard shipping methods.
          2. Orders placed from Puerto Rico, Guam, and Hawaii will take 7-10 days more than other US states.
          3. Delivery to military regions is currently limited. We are very sorry for the inconvenience.
          4. The majority of our orders are processed and shipped within the time frame we offer above. However, the time period above is only an approximate and can differ in individual cases. Some items/orders may require a longer ship-out and/or delivery time frame.
          5. Large orders cannot be shipped to PO Box addresses and will be shipped separately as needed to ensure safe delivery.
          6. When an order is ready to be shipped, a tracking link will be sent to your email so you can follow your package all the way home.

          Order Tracking:

          An email with the tracking number will be sent to you as soon as your order is shipped. The delivery service will also provide the Estimated Time of Arrival (ETA) as well as all the required information to track your package. Please allow 5-7 days for the carrier to scan your package into their system.

          If your tracking number isn't getting any updates within the standard time frame above, please contact us to help you locate your order.

          Incorrect Address:

          If, for any reason, a package is unable to reach its intended destination due to an incorrect or incomplete address, or if it's marked as "unclaimed" or "return to sender," we'll promptly notify you via email. Our goal is to ensure that you receive your order smoothly, so we'll work with you to make further arrangements.

          To help us avoid any delivery hiccups, we kindly request that you provide the correct address during the checkout process. It's crucial for us to have accurate information to ensure that your order is delivered to the right place. Please keep in mind that we cannot be held responsible if your order is delivered to an incorrect address due to an error on your part.

          We understand that you may have specific delivery preferences, and we appreciate your trust in our service. However, we'd like to inform you that once your order has left our facility, any requests to forward or redirect the package through the mail carrier will be outside of our control. In such cases, we regretfully cannot assume responsibility if the package becomes lost, stolen, or damaged during the forwarding process.
